Maybe you’re a small-business owner operator who is seeking a welcoming, supportive and fun environment among like-minded innovators, as well as the valuable efficiencies of sharing resources. Maybe you’re a traveling professional who needs a great internet connection, a comfortable and productive space to catch up on work and ready access to hot coffee. Maybe you’re someone who wants to help incubate startups companies by offering mentorships or other resources. There is a space for you at the Kentucky Innovation Station.
Co-Working-
is a community of like-minded individuals who work together in the same space to collaborate and grow. The co-working space also offers mentorship to startups through dedicated services, events, and business networking events.
I
ncubator-
An incubator assists in the development of startup companies by providing mentors and resources to accelerate their success. Entrepreneurs with ideas come in and grow their companies. An incubator can be seen as a business program that helps an entrepreneur by using mentorship, educational, and networking opportunities to build the success of companies. Incubator clients are required to attend quarterly meetings with incubator management to review milestones, evaluate progress, and explore options for business growth.

Payment for the Kentucky Innovation Station is due on the 1st of every month. It is your responsibility to pay by the first of the month. If your membership is not paid on the 1st, there will be a late fee of $5.00 for each week the membership fee remains unpaid. If the membership fee is in arrears for more than 30 days, the membership shall be immediately suspended.

1. DEFINITIONS
“Authorized Signatory”
means an Individual authorized to legally bind your company.
"Membership Location”
means 38 West Arch Street, Madisonville, KY in which the Office Space is located, as set forth in the Membership Details form. "Member" means you and “Additional Member” means each person you list and authorize on your Member Details Summary form and Contact Information form as being allowed to use your Office Space and receive the Services (defined below) or other benefits of your Kentucky Innovation Station Membership.
"Member Company"
means a company, entity, or Individual that enters into a Membership Agreement with the Kentucky Innovation Station.
"Office Space”
means the office number and/or workspace location(s) specified in the Membership Details form.
"Premises"
means a building or portion of a building in which the Kentucky Innovation Station offers or plans to offer offices, workstations, other workspaces, and/or other services to Member Companies.
"Primary Member"
means the primary in-Premises Member contact for Madisonville.
"Start Date”
means the start date set forth on the Membership Details Summary form.
2. THE BENEFITS
a. Services. Subject to the terms and conditions of this agreement, including any attachments, exhibits, and addenda (including any additional or supplemental Membership Agreement or Membership Details Summary forms)(collectively, the “Agreement") and any other policies we make available to you from time to time during the Term (defined below), The Kentucky Innovation Station will use commercially reasonable efforts to provide you (and your Members, as applicable) the services described below. These services are referred to in this Agreement as the "Services:”
● Non-exclusive access to the Office Space.
● Regular janitorial service and maintenance of the Office Space, consistent with the maintenance provided to similar workspaces in the Premises, provided that we will not be responsible for damage exceeding normal wear and tear.
● Furnishings for the Office Space of the quality and in the quantity typically provided to other Innovation Station Member Companies with similar office space, workstations, and/ or other workspace, as applicable, in the Premises.
● Access to the shared internet connection.
● Use of the printers, copiers and/or scanners made publicly available in the Premises unless said printers, copiers and/or scanners are under maintenance.
● Use of the conference rooms in the Kentucky Innovation Stations during such Premises' Regular Business Hours on Regular Business Days, subject to availability and your prior reservation of such conference rooms.
● Heat and air-conditioning in the Office Space during Regular Business Hours on Regular Business Days.
● Opportunity to participate in members-only events, benefits and promotions.
b. Business Hours/Days. "Regular Business Hours” are from 8:00 a.m. to 4:30 p.m.
3. MEMBERSHIP FEES; PAYMENTS
a. Payments Due Upon Signing. Upon submitting a signed and completed Agreement, you will be obligated to deliver to us the full monthly amount, by the first (1st) day of every month, as set forth on your Membership Application.
b. Membership Fee. The amount of your monthly Membership Fee is listed in the Membership Application Form. During the Term (defined below) of this Agreement, we will process payment for your Membership Fee and other then-outstanding fees, in advance, monthly and no later than the first (1st) business day of each month. You shall be responsible for having the necessary funds available in your payment account as of the first (1st) day of the month. The Membership Fee set forth on the Membership Details Summary form covers the Services for only the number of Members indicated in the Membership Details Summary form.
c. Supplemental Services Fee(s). During the Term of this Agreement, we will process payment for any supplemental services, in advance, monthly and no later than the first (1st) business day of each month.
d. Access Card Fee. If your Membership Type includes 24/7 access to the premises an additional one time Access Card is provided to each Primary Member and Additional Member that will be issued an access card/key card. Is the card access key is lost or stolen a $25 fee will be charged to replace the card.
f. If member payment is not made by the 1st of every month. An Invoice will be generated and send via email. A $5 charge will be added for processing in addition to the monthly membership fee.
4. TERM AND TERMINATION
a. Term. This Agreement will be effective when signed by both parties ("Effective Date")
(i) the date on which payment of your first month's Membership Fee and any required deposit or Service Retainer has cleared or (ii) the Start Date. If the Start Date is a Regular Business Day, you will be entitled to move into the Office Space after 8 a.m. on the Start Date.
b. Termination. If you have no Lease Term, you may terminate this Agreement by delivering to us a termination notice at least one (1) full business day prior to the end of the month in which you intend to terminate this Agreement. If your Membership Summary Details form indicates a Commitment Term and/or subsequent Renewal Term, you must deliver a written notice of cancellation to Launch Pad at least one (1) full calendar month before the end of the Commitment Term. If you have previously renewed your term, then you must deliver
a written notice of cancellation to the Kentucky Innovation Station at least one(1) full calendar month before the end of the Renewal Term. YOU MUST PROVIDE 30 DAYS NOTICE PRIOR TO YOUR TERM’S END DATE. For instance, if your Lease Term or Renewal Term ends in April, and you would like to terminate this Agreement on the last Regular Business Day of April, the last day to deliver notice of termination to us would be on March 31. If your notice of termination is not delivered thirty (30) days prior to your current Term’s end date, your Term will renew for a full Renewal Term. Any termination notice must be in writing. You will not be entitled to proration with respect to the last month's Membership Fee. For instance, if you vacate your Office Space before the last Regular Business Day of April, you will still owe us the full Membership Fee for the month of April.
d. The Kentucky Innovation Station reserves the right to terminate this Agreement at any time. The Kentucky Innovation Station further reserves the right to terminate your participation in and use of any services, immediately and without notice, if you fail to comply with the Terms and Conditions of this Agreement or fail to comply with any rules or conditions set forth by any Premises rules or building rules.
5. INDEMNIFICATION
You release, and hereby agree to indemnify, defend and save harmless the Innovation Station
,
and the Madisonville Hopkins County Economic Development Corporation, the City of Madisonville, subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present and future officers, agents, shareholders, members, representatives, employees, successors and assigns, jointly and individually, from and against all claims, liabilities, losses, damages, costs, expenses, judgments, fines and penalties based upon or arising out of your negligent actions, errors and omissions, willful misconduct and fraud in connection with the participation in or use of the Services.
6. PETS & INDEMNIFICATION
Depending upon the building rules of your office location, you may be able to bring pets to the premises. You agree to be solely responsible for any pet you bring on the premises. Pet owner must show proof of current shots. You agree to release and hereby agree to indemnify, defend and save harmless the Innovation Station and the Madisonville Hopkins County Economic Development Corporation subsidiaries Innovation Station subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present and future officers, agents, shareholders, members, representatives, employees, successors and assigns, jointly and individually, from and against all claims, liabilities, losses, damages, costs, expenses, judgments, fines and penalties based upon or arising out of any actions of your pet. You agree that your pet will be supervised at all times; will be clean; will not make offensive noise; will be housebroken; will be well-socialized and well-behaved towards people and other pets; and will be current on all vaccinations and be flea and tick free. The Innovation Station reserves the right to deny entrance to any pet at its sole discretion and for any reason or for no reason.
7. HARASSMENT
We are dedicated to providing a discrimination and harassment-free environment for everyone, regardless of gender, gender identity and expression, sexual orientation, disability, physical appearance, body size, race, or religion. We do not tolerate discrimination or harassment of people at our events or space in any form. If you believe that you are being subject to discrimination and/or harassment, notify the Community Manager immediately.
We have a zero tolerance policy for any remarks or behavior failing to respect the dignity and feelings of individuals in our space.
Members or guests violating the Harassment Policy will be sanctioned or expelled at the discretion of the Kentucky Innovation Station.
Harassment includes:
Offensive verbal comments;
Sexual images in public spaces;
Deliberate intimidation;
Stalking;
Following;
Photography or recording without consent;
Repeated disruptive behavior;
Inappropriate physical contact; and/or
Unwelcome sexual attention.
Anyone asked to stop any harassing behavior is expected to comply immediately. If you are the recipient of any undesirable behavior or action listed above, please contact your Community Manager with any questions, concerns, or issues.
8. SEVERABILITY
In the event that any provision or portion of this Agreement is determined to be invalid, illegal or unenforceable for any reason, in whole or in par it shall be deemed invalid. The remaining provisions of this Agreement shall be unaffected thereby and shall remain in full force and effect to the fullest extent permitted by applicable law.
9. INSURANCE
The Madisonville Hopkins County Economic Development carries Liability and Business Personal Property insurance.
10. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MADISONVILLE HOPKINS COUNTY ECONOMIC DEVELOPMENT Corporation. PROVIDES THE SERVICES "AS IS" AND WITH ALL FAULTS, AND HEREBY DISCLAIMS WITH RESPECT TO THE SERVICES ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY (IF ANY) WARRANTIES, DUTIES OR CONDITIONS OF OR RELATED TO: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, LACK OF VIRUSES, ACCURACY OR COMPLETENESS OF RESPONSES, RESULTS, WORKMANLIKE EFFORT AND LACK OF NEGLIGENCE. ALSO, THERE IS NO WARRANTY, DUTY
OR CONDITION OF TITLE, QUIET ENJOYMENT, QUIET POSSESSION, OR NON-INFRINGEMENT. THE ENTIRE RISK AS TO THE QUALITY, OR ARISING OUT OF PARTICIPATION IN OR THE USE OF THE SERVICES, REMAINS WITH YOU.
11. Exclusion of Incidental, Consequential and Certain Other Damages.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL the Innovation Station or the Madisonville Hopkins County Economic Development Corporation, the City of Madisonville, OR ITS SUBSIDIARIES (WHETHER OR NOT WHOLLY-OWNED), AFFILIATES, DIVISIONS, AND THEIR PAST, PRESENT AND FUTURE OFFICERS, AGENTS, SHAREHOLDERS, MEMBERS, REPRESENTATIVES, EMPLOYEES, SUCCESSORS AND ASSIGNS, JOINTLY AND INDIVIDUALLY BE LIABLE FOR ANY DIRECT, SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, CONSEQUENTIAL OR OTHER DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR: LOSS OF PROFITS, LOSS OF CONFIDENTIAL OR OTHER INFORMATION, BUSINESS INTERRUPTION, PERSONAL INJURY, LOSS OF PRIVACY, FAILURE TO MEET ANY DUTY (INCLUDING OF GOOD FAITH OR OF REASONABLE CARE), NEGLIGENCE, AND ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR IN ANY WAY RELATED TO THE PARTICIPATION IN OR INABILITY TO PARTICIPATE IN OR USE THE SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION OF THIS AGREEMENT, EVEN IN THE EVENT OF THE FAULT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF CONTRACT OR BREACH OF WARRANTY OF Madisonville Hopkins County Economic Development AND EVEN IF the Madisonville Hopkins County Economic Development Corporation HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12. Limitation of Liability and Remedies.
NOTWITHSTANDING ANY DAMAGES THAT YOU MIGHT INCUR FOR ANY REASON WHATSOEVER (INCLUDING, WITHOUT LIMITATION, ALL DAMAGES REFERENCED ABOVE AND ALL DIRECT OR GENERAL DAMAGES), THE ENTIRE LIABILITY OF THE KENTUCKY INNOVATION STATION, THE MADISONVILLE-HOPKINS COUNTY ECONOMIC DEVELOPMENT CORPORATION, AND THE CITY OF MADISONVILLE OR ITS SUBSIDIARIES (WHETHER OR NOT WHOLLY-OWNED), AFFILIATES, DIVISIONS, AND THEIR PAST, PRESENT AND FUTURE OFFICERS, AGENTS, SHAREHOLDERS, MEMBERS,REPRESENTATIVES, EMPLOYEES, SUCCESSORS AND ASSIGNS UNDER ANY PROVISION OF THIS AGREEMENT AND YOUR EXCLUSIVE REMEDY FOR ALL OF THE FOREGOING SHALL BE LIMITED TO ACTUAL DAMAGES INCURRED BY YOU BASED ON REASONABLE RELIANCE UP TO ONE HUNDRED DOLLARS (USD $100.00).
13. JURISDICTION.
THIS AGREEMENT AND THE RIGHTS AND OBLIGATIONS OF THE PARTIES HERETO SHALL BE CONSTRUED AND ENFORCED IN ACCORDANCE WITH THE LAWS OF THE STATE OF KENTUCKY. THIS AGREEMENT IS PERFORMABLE, AND VENUE OF ANY LITIGATION PURSUANT HERETO, SHALL BE IN Madisonville, Kentucky.
14. CREDIT CARD AUTHORIZATION
The Kentucky Innovation Station offers automatic monthly billing for your contract with the Innovation Station. By signing below, you authorize the Madisonville Hopkins County Economic Development to charge your credit card on the first day of each month for the membership amount stated in your monthly invoice and pursuant to your Membership Agreement and your Membership Details Summary form. This ongoing monthly charge is authorized for the first day of each month unless the contract is cancelled according to the terms of the contract.
For the purposes of these Building Rules, the term (i) “Member” includes all representative, employees, agents, and visitors of a Member of the Innovation Station.
1. For the safety and security of Innovation Station and Innovation staff, Members and Visitors, access to the Innovation Station will be limited to authorized individuals by key codes. Each Member must supply Innovation Station with a current list of all personnel to whom key codes will be issued. Member shall promptly inform Innovation Station staff of any changes to the list.
2. No member shall place additional locks or security devices of any kind upon any of the doors or windows or change or remove any existing locks or other security mechanisms of the Innovation Station.
3. Members will ensure that all doors are securely locked and water faucets, lights, and machinery are turned off before leaving the Innovation Station facility.
4. Members are responsible for their own mail service. Please note the Madisonville Post Office is adjacent to the Innovation Station.
5. Members will have access to conference rooms and other common areas within the Innovation Station. Please schedule Conference Room in advance with Innovation Station Staff.
6. The Innovation Station facility is a non-smoking building. Smoking or carrying a lit tobacco product is prohibited within the Innovation Station and within ten (10) feet from any entrance to the facility.
7. No Member will block or restrict access to any sidewalks, entrances, driveways, passages, stairways, halls, or other areas of the Innovation Station Facility.
8. All items belonging to Innovation Station facility must remain inside the building. Any equipment that is checked out (IT equipment, projectors, etc.) must have prior approval from Innovation Station personnel.
9. Member Space and common areas shall not be used as a residence or for sleeping.
10. Members will not mark, paint or in any way deface any part of the Innovation Station Facility.
11. Soliciting and distribution of handbills or any other written materials within the Innovation Station Facility are prohibited without Innovation Station prior approval.
12. Though the co-working space is an interesting place to collaborate with smart, creative people and spark new ideas, it is also a place where people need to work. Please be respectful of those working.
13. Leave no trace. Clean up after yourself. Don’t leave trash and clutter. You’re welcome to spread out while you’re working, but please leave the space even better than you found it.
14. The Innovation is GREEN and we will work very hard to recycle and reduce our carbon footprint.
15. No retail items can be bought or sold in the Innovation Station.
It is the policy of the Kentucky Innovation Station to maintain a firearms and weapons free work place and prohibit the possession of firearms and weapons regardless of any license or permit that an individual may have which would otherwise authorize the individual to carry firearms or weapons. The Company will strictly enforce this policy.
